1. Introduction

These Terms & Conditions apply to all video production services provided by Film Pill Ltd (“we”, “us”, “our”).
By accepting a quote, the client (“you”) agrees to these terms.

We aim to keep everything clear, transparent and enjoyable for both sides.

2. Scope of Work

2.1. All work is based on the details outlined in our Quote and any agreed written correspondence.
2.2. “Multicam” refers to filming with up to three static cameras unless otherwise stated.
2.3. Provision for standard video, audio and lighting equipment is included, subject to our written confirmation after your initial enquiry.
2.4. Where a project requires equipment or technical specifications beyond our standard provision (for example, cinema cameras, speciality lighting, gimbals, autocue, additional crew), this will be reflected in the final Quote.
2.5. Any changes or additions to the agreed scope (extra filming, additional edits, alternative versions, additional cameras, etc.) may affect the price and timeline and will always be agreed in writing before proceeding.

3. Fees, Deposits & Payment

3.1. All prices are subject to 20% VAT unless exemptions apply (e.g., eligible charities — subject to confirmation).
3.2. A 50% deposit is required to secure filming dates and begin pre-production.
3.3. The remaining 50% is due upon delivery of the first edit unless otherwise agreed.
3.4. Invoices are payable within 7 days.
3.5. Late payments may incur admin fees under the Late Payment of Commercial Debts Act 1998.
3.6. A Day is defined as up to 8 hours. A Half Day is defined as up to 4 hours.
3.7. Travel and accommodation charges may apply for any work taking place outside Greater London and/or for projects spanning consecutive days.
3.8. The client is liable for incidental expenses connected with the project (e.g., parking, mileage, courier fees, location permits), all of which will be communicated clearly.

4. Cancellations & Postponements

4.1. If you cancel a confirmed shoot:
- More than 72 hours before: Deposit retained
- 72–48 hours before: 50% of the total shoot fee
- Less than 48 hours: 100% of the total shoot fee
4.2. Third-party costs already incurred (locations, crew, kit hire, travel) are always chargeable.
4.3. If we need to postpone due to extreme weather or safety concerns (especially for drone work), we’ll discuss options with you.

5. Revisions

5.1. Each project includes up to two (2) rounds of revisions per deliverable.
5.2. All revision notes must be provided as a single consolidated list per round.
5.3. Post-production change requests are included when they fall within the allotted project time as outlined in the Quote or agreed in writing.
5.4. Additional or late changes may incur charges at our standard rates.

6. Client Responsibilities

6.1. Please ensure that all required permissions are in place, including location access, contributor consent, safeguarding (if filming minors), and branding approvals.
6.2. You agree to provide timely feedback, brand assets, reference materials and any other content needed for the project.
6.3. Delays caused by late feedback, missing assets or access issues may affect delivery timelines.

7. Production Conditions

7.1. We always aim for the highest production quality.
7.2. Quality may be affected if filming conditions are beyond our control (e.g., noisy environments, limited space, restricted lighting options).
7.3. Safety is paramount. We reserve the right to stop or modify work if we judge a situation unsafe.

8. Drone Operations

8.1. Any drone filming is carried out under UK law and aviation regulations.
8.2. Flights are weather-dependent and may be changed or cancelled without penalty to us.
8.3. Certain locations require permissions or restrictions that may affect drone use.

9. Intellectual Property & Usage Rights

9.1. We retain full copyright and ownership of all raw footage and project files.
9.2. Once the project is fully paid for, you receive a perpetual, worldwide, non-exclusive licence to use the final delivered videos for the purposes agreed in writing.
9.3. You may not edit, alter, or re-use the footage in new contexts without our written permission (this protects quality and brand consistency).
9.4. Raw footage, if requested and agreed, will be supplied via portable hard drive sent by post. The cost of the drive and postage will be included in the Quote or billed separately.
9.5. Raw footage is licensed separately and does not include editing rights unless agreed in writing.

10. Portfolio Use

10.1. We may use completed work in our portfolio, website, social media and showreel.
10.2. If confidentiality is required, just let us know in writing.

11. Delivery & Storage

11.1. Standard deliverables will be provided digitally.
11.2. We keep project files for 60 days after final delivery, after which they will be deleted.
11.3. Long-term storage or re-delivery of files may incur an additional charge.

12. Liability

12.1. Our liability is limited to the total amount paid for the project.
12.2. We are not liable for:
- consequential losses
- missed opportunities
- claims arising from client-supplied content or instructions
- delays caused by factors outside our control
12.3. You agree to indemnify us against claims relating to supplied music, logos, imagery or branding.

13. Confidentiality & GDPR

13.1. We treat all client information as confidential unless agreed otherwise.
13.2. Any personal data shared during the project is handled in line with UK GDPR requirements.

14. Governing Law

These terms are governed by the laws of England & Wales.
Any disputes will be handled exclusively in the courts of England & Wales.

15. Acceptance

By accepting our quote or commissioning Film Pill Ltd to begin work, you acknowledge and agree to these Terms & Conditions.
